Vendor warranties in business sale transactions (whether by way of assets or shares) are often considered to be standard provisions and are consequently overlooked.
The truth is that these provisions are fertile ground for purchasers to assert breach and make substantial damages claims against the vendor.
This face-to-face workshop will:
- provide attendees with an increased understanding of vendor warranties;
- consider the importance of vendor warranties from the perspective of the purchaser, and the remedies available to a purchaser where a warranty is breached, including actions for breach of warranty and under the Australian Consumer Law;
- consider the risks and dangers of vendor warranties from the perspective of the vendor;
- discuss recent case examples involving breaches of vendor warranties;
- explore measures that can be taken to secure entitlements upon breach of vendor warranties and to guard against insolvency risks; and
- assist attendees in making effective suggestions to improve their client’s risk position.
